Proposed change to Definition of “Quorum” for Winona County 4-H Federation

After reviewing the current Winona County 4-H Federation Constitution/Bylaws, an error was noted in the definition of a quorum.  A quorum is the number of individuals needed at a Federation meeting to conduct official business. This newsletter article provides notice that new language for a quorum will be discussed at the January 8, 2018 Winona County 4-H Federation meeting and unless ten or more people object to this change on or before 4:00 p.m. on January 10, 2018, the change will become effective at the February 2018 meeting.

What are the current definitions used by the Winona County 4-H Federation?  

• The current definition of a quorum is found in the Constitution in Article VI Section 3:  A quorum for the purpose of official business decisions of the 4-H organization shall be a simple majority (50% plus one) of membership as described in Article III, Section 2.

• The definition of membership is described in the Constitution in Article III, Section 2: Membership shall include all 4-H members grade six and higher and adults serving as Minnesota 4-H organizational, activity, or project volunteers.

Why is this necessary?

• The current wording indicates that 112 individuals (representing the 108 Minnesota 4-H Volunteers and the 114 youth who are 6th grade and older) would need to be present at the federation meeting to conduct business. Given the difficulty of getting the required number of individuals to the meeting to approve a change in the definition of a quorum, the State 4-H Director (authorizer of the Winona County 4-H Federation) has approved an alternate process.

What is the new definition for a quorum for the Winona County 4-H Federation?

• The definition of a quorum in the Constitution Article VI Section 3 would read as follows:  A quorum for the purpose of official business decisions of the 4-H organization shall be members present (as described in Article III Section 2) at a properly called meeting (as defined in the Bylaws - Article D, Section 1 and 2.)
• The definition of membership stays the same as written above.

How do I support or object to this change?

• A copy of the “proposed” constitution/by-laws is posted on the county website in the downloads section for your review. If you would like to request a printed copy or have any questions, please contact Kim Wingert, Winona County 4-H Program Coordinator at 507-457-6440 or winge109@umn.edu.

• If you would like to object to the change in language for a federation meeting quorum and cannot be present at the January 4-H Federation meeting, please send written notice to Kim before 4:00 p.m. on January 10, 2018.
